Introduction

This Statement of Work (this “SoW”) is between John Bouchard (“Customer” or “John Bouchard”) and MacFarland Painting Inc. (“MACFARLAND”) and sets forth the business parameters and other matters regarding services that Customer has engaged MACFARLAND to provide hereunder (the “Services”).

This SoW is governed by and incorporates by reference the Master Services Agreement between the parties. In the event of a conflict between this SoW and that agreement, the agreement controls except where this SoW expressly states otherwise.

1.  Engagement Objective

Fixed-price work at 27682 Oriole Ct. as detailed in the accepted estimate dated 2026-08-11.

2.  Engagement Scope and Approach

• Family/Living Room: General Labor (furniture/contents move & curtain remove-reinstall) (2.5 hour @ $105) — $262.50
• Dining Room: Walls only (468 sqft @ $1.28) — $599.04

3.  Fees and Invoicing

The total estimated fees for this engagement are $3,050.23 exclusive of taxes. MACFARLAND will charge its fees for this engagement on a Fixed Price basis. MACFARLAND will invoice Customer in accordance with the following schedule and Customer will pay such amounts pursuant to the Master Services Agreement between the parties or, if not specified therein, net 30 days from invoice date:

4.  Expenses and Other Charges

Travel and related expenses incurred by MACFARLAND in performing the Services are included in the stated fees. MACFARLAND shall not invoice, and Customer shall not be obligated to pay for any fees of any type incurred by MACFARLAND except as stated herein.

5.  Completion and Acceptance

MACFARLAND will submit Deliverables and billable hours to Customer accompanied by an Acceptance Form. Upon such submission, Customer will review the submission for accuracy within 10 business days (the “Acceptance Period”) to determine whether each item satisfies the applicable acceptance criteria. If the submission is accurate, Customer will furnish a written acceptance confirmation to MACFARLAND via the Acceptance Form prior to the end of the Acceptance Period. For any item in question, Customer will indicate the detailed reasons for such rejection on the Acceptance Form and return it to MACFARLAND (a “Rejection Notice”) within the Acceptance Period.

Upon receipt of a Rejection Notice, MACFARLAND will promptly correct any defects or non-conformities to the extent required so that each item satisfies the requirements of this SoW and its acceptance criteria in all material respects. Thereafter, MACFARLAND will resubmit the corrected item accompanied by the Acceptance Form and the process set forth above will be repeated. Customer will limit its review of each resubmitted item to determining whether MACFARLAND has corrected the defects or non-conformities identified in the Rejection Notice and to the effects which those corrections have on other portions of the same submission. If Customer fails to provide a Rejection Notice prior to the end of the applicable Acceptance Period, the corresponding item is deemed accepted.

6.  Acceptance of Statement of Work

This SoW may be executed in any number of counterpart copies, each of which will be deemed an original, but which taken together will constitute a single instrument. The parties expressly authorize the use of facsimile counterparts or delivery by other electronic device as a valid method of execution; however, the parties agree to cooperate in good faith to provide each other with a fully executed original of this SoW within five (5) calendar days of any counterpart execution. This SoW together with the Master Services Agreement between the parties (i) is the complete and exclusive agreement between MACFARLAND and Customer with regard to its subject matter, and supersedes all prior oral or written proposals, agreements, representations and other communications between the parties with respect to the Services described in this SoW; and (ii) will apply in lieu of any different, conflicting or additional terms and conditions which may appear on any order or other document submitted by either party.

IN WITNESS WHEREOF, the parties hereto have caused this SoW to be executed by their duly authorized representatives as of the Effective Date set forth on the first page of this SoW.
